Share Buyback Programme

The share buy-backs are a part of the share buy-back programme of a maximum of SEK 100 million (€9.2m), or 2,291,105 ordinary shares, initiated on 18 June 2026 that will run between 18 June and 23 November 2026. The objective of this Programme is to achieve added value for Kambi’s shareholders and to give the Board increased flexibility with Kambi’s capital structure by reducing the capital. The Programme is being carried out in accordance with the Maltese Companies Act, the EU Market Abuse Regulation No 596/2014 (MAR), Commission Delegated Regulation (EU) No 2016/1052 (Safe Harbour Regulation) and other applicable rules.

The objective of this Programme is to achieve added value for Kambi’s shareholders and to give the Board increased flexibility with Kambi’s capital structure by reducing the capital. The Programme is being carried out in accordance with the Maltese Companies Act, the EU Market Abuse Regulation No 596/2014 (MAR), Commission Delegated Regulation (EU) No 2016/1052 (Safe Harbour Regulation) and other applicable rules.

The share buy-backs are a part of the share buy-back programme of a maximum of SEK 110 million (€10m), or 1,993,575 ordinary shares, initiated on 18 June 2025 that will run between 18 August and 21 November 2025. The objective of this Programme is to achieve added value for Kambi’s shareholders and to give the Board increased flexibility with Kambi’s capital structure by reducing the capital. The Programme is being carried out in accordance with the Maltese Companies Act, the EU Market Abuse Regulation No 596/2014 (MAR), Commission Delegated Regulation (EU) No 2016/1052 (Safe Harbour Regulation) and other applicable rules.

The share buy-backs are a part of the share buy-back programme of a maximum of SEK 55 million (€5m), or 996,787 ordinary shares, initiated on 18 June 2025 that ran between 19 June and 15 August 2025. The objective of the Programme is to satisfy Kambi’s future obligations arising from its employee share option programmes. The Programme is being carried out in accordance with the Maltese Companies Act, the EU Market Abuse Regulation No 596/2014 (MAR), Commission Delegated Regulation (EU) No 2016/1052 (Safe Harbour Regulation) and other applicable rules.

In line with the recently announced capital allocation strategy, the Board of Kambi Group plc has completed its share buyback programme initiated on 6 November 2024.

The objective of the buyback was to achieve added value for Kambi´s shareholders and to give the Board increased flexibility with Kambi´s capital structure by reducing the capital.

Kambi Group plc completed its share buyback programme initiated on 18 March 2024 within the mandate approved at the Extraordinary General Meeting on 19 June 2023. The buyback programme ran between 18 March and 17 May 2024.

The Board of Directors of Kambi Group plc had, empowered by a mandate received at the Extraordinary General Meeting (EGM) on 19 June 2023, decided to initiate a new share buyback programme, following on from previous programmes undertaken since the EGM. The Board of Kambi Group plc has exercised the buyback mandate which was received at the Extraordinary General Meeting on 30 June 2022. The buyback programme ran between 4 May 2023 and 30 May 2023, up to a total of EUR 7.2 million.

The objective of the buyback was to achieve added value for Kambi’s shareholders and to give the Board increased flexibility with Kambi’s capital structure, for example as consideration for an acquisition or upon exercise of share options by employees under Share Option Plans.

The Board of Kambi Group plc has exercised the buyback mandate which was received at the Extraordinary General Meeting on 23 June 2021. The buyback programme ran between 27 October 2021 and 10 November, up to a total of EUR 12 million.
